1. Agreement to Terms

Welcome to Catalyst Prep. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Catalyst Prep ("we," "us," or "our") governing your access to and use of our CAT preparation platform, including our website, mobile applications, and related services (collectively, the "Platform").

By creating an account, accessing, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Platform.

2. Eligibility

To use Catalyst Prep, you must:

• Be at least 16 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using our services under applicable laws
• Provide accurate and complete registration information

If you are using our Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach

3.2 Account Responsibility

You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security. You may not:

• Share your account credentials with others
• Create multiple accounts for the same individual
• Use another person's account without permission
• Transfer or sell your account to another party

4. Subscription and Payment

4.1 Subscription Plans

Catalyst Prep offers various subscription plans with different features and pricing. By subscribing, you agree to pay the applicable fees as described at the time of purchase.

4.2 Payment Terms

• Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected)
• Payment Methods: We accept payment via credit card, debit card, UPI, and other methods as indicated on our Platform
• Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date
• Price Changes: We reserve the right to modify subscription prices with 30 days' notice

4.3 Refund Policy

We offer a 7-day money-back guarantee for first-time subscribers. Refund requests must be submitted within 7 days of the initial purchase. After this period, all payments are non-refundable except as required by law or at our sole discretion.

To request a refund, contact us at support@catalystprep.app with your account details and reason for the request.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of the billing period.

4.5 Failed Payments

If a payment fails, we will attempt to process it again. If payment continues to fail, your subscription may be suspended or canceled. You remain responsible for any outstanding amounts owed.

5. License and Restrictions

5.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Platform for your personal, non-commercial CAT preparation purposes.

5.2 Restrictions

You agree not to:

• Copy, modify, distribute, sell, or lease any part of our Platform or content
• Reverse engineer, decompile, or attempt to extract source code
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Use automated systems (bots, scrapers) to access the Platform
• Circumvent security measures or access restrictions
• Share, distribute, or publicly display test questions or proprietary content
• Use the Platform for any illegal or unauthorized purpose
• Interfere with or disrupt the Platform's functionality
• Impersonate others or misrepresent your affiliation
• Collect or harvest user information without consent

6. Intellectual Property Rights

6.1 Our Content

All content on the Platform, including but not limited to test questions, study materials, analytics tools, text, graphics, logos, images, software, and user interface design, is owned by or licensed to Catalyst Prep and is protected by copyright, trademark, and other intellectual property laws.

6.2 CAT Papers

Our Platform includes official CAT papers from previous years, which have been adapted for current exam patterns. These papers are used under fair use principles for educational purposes. All rights to the original content belong to the Indian Institutes of Management (IIMs) and their authorized testing agencies.

6.3 User Content

You retain ownership of any content you submit to the Platform (e.g., feedback, questions, comments). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and improving our Platform.

6.4 Feedback

Any feedback, suggestions, or ideas you provide to us become our property, and we may use them without any obligation to you.

7. Content and Accuracy

7.1 Educational Purpose

Catalyst Prep is designed to assist with CAT preparation. While we strive for accuracy, we do not guarantee that:

• Our content is error-free or complete
• Use of our Platform will result in specific exam scores or admission outcomes
• Our practice tests perfectly replicate the actual CAT exam
• Our analytics and insights are infallible

7.2 No Professional Advice

The information provided on our Platform is for educational purposes only and does not constitute professional academic counseling or career advice. You should consult with qualified professionals for personalized guidance.

7.3 Updates and Changes

We may update, modify, or discontinue any aspect of our Platform, including content and features, at any time without notice. We are not liable for any modifications or discontinuation of services.

8. User Conduct

You agree to use the Platform responsibly and ethically. Prohibited conduct includes:

• Cheating, including using unauthorized aids during practice tests
• Sharing test questions or answers with others outside the Platform
• Creating fake accounts or engaging in fraudulent activities
• Harassing, threatening, or abusing other users or our staff
• Posting offensive, defamatory, or inappropriate content
• Attempting to gain unauthorized access to other users' accounts
• Using the Platform to distribute malware or harmful code
• Violating any applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these conduct standards.

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Platform, you consent to our data practices as described in the Privacy Policy.

10. Third-Party Services

Our Platform may integrate with or link to third-party services (e.g., payment processors, analytics providers). We are not responsible for:

• The availability, accuracy, or content of third-party services
• Third-party privacy practices or terms of service
• Any damages or losses arising from your use of third-party services

Your use of third-party services is subject to their respective terms and policies.

11. Disclaimers and Limitations of Liability

11.1 "As Is" Basis

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

11.2 No Guarantee of Results

WE DO NOT GUARANTEE THAT USE OF OUR PLATFORM WILL IMPROVE YOUR CAT SCORES, RESULT IN ADMISSION TO ANY INSTITUTION, OR ACHIEVE ANY SPECIFIC OUTCOME.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALYST PREP AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Platform
• Errors, mistakes, or inaccuracies in content
• Unauthorized access to your account or data
• Interruption or cessation of service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR ₹5,000, WHICHEVER IS LESS.

12. Indemnification

You agree to indemnify, defend, and hold harmless Catalyst Prep and its affiliates, officers, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws or regulations
• Any content you submit to the Platform

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at support@catalystprep.app or through your account settings. Termination does not relieve you of any payment obligations for services already rendered.

13.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause or notice, including if:

• You violate these Terms or our policies
• You engage in fraudulent or illegal activities
• Your account remains inactive for an extended period
• We discontinue the Platform or certain features
• Required by law or regulatory authorities

13.3 Effect of Termination

Upon termination:

• Your right to access and use the Platform immediately ceases
• We may delete your account and associated data
• You remain liable for any outstanding payment obligations
• Provisions that by their nature should survive (e.g., intellectual property, disclaimers, indemnification) will continue to apply

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal legal proceedings, you agree to first contact us at legal@catalystprep.app to attempt to resolve any dispute informally. We will work in good faith to resolve the matter within 30 days.

14.2 Arbitration

If informal resolution fails, any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Bangalore, Karnataka, India, and the language of arbitration shall be English.

14.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Subject to the arbitration provisions above, the courts of Bangalore, Karnataka, India shall have exclusive jurisdiction over any disputes.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last Updated" date at the top of this page
• Post the revised Terms on our Platform
• Notify you via email or Platform notification for material changes

Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform and cancel your account.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Catalyst Prep regarding the Platform and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
